Terms and Conditions
These Terms and Conditions govern your access to and use of the SystemBubble Revenue Growth System (RGS), including our booking, reservation, ecommerce, customer engagement, and related business growth capabilities. By accessing or using our services, you agree to these terms.
Effective Date: October 13, 2026
1. About Our Services
SystemBubble provides Revenue Growth Systems (RGS) designed to help businesses attract customers, convert opportunities into sales, facilitate transactions, strengthen customer relationships, and generate repeat business. Our systems bring together the capabilities, processes, and technology businesses need to support and improve revenue growth.
Depending on the services engaged, an RGS may include capabilities for customer acquisition, sales conversion, transaction management, customer engagement and retention, business and customer data management, workflow automation, analytics, and artificial intelligence. These capabilities work together as part of a broader system focused on helping businesses manage and improve how they generate revenue. The specific capabilities available to each customer depend on the services and scope agreed upon with SystemBubble.
SystemBubble is a technology service provider. Unless expressly agreed otherwise in writing, we do not operate your business, act as the seller of your products or services, or guarantee your business results.
2. Account Registration and Security
- You must provide accurate, current, and complete information when registering or requesting our services.
- You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.
- You must notify us promptly if you suspect unauthorized access to your account.
- You must ensure that individuals authorized to access your business account comply with these terms.
We may restrict or suspend account access when reasonably necessary to protect the security of the platform, our customers, or our services.
3. Setup Fees, Subscriptions, and Payment
The fees, payment schedule, included features, implementation scope, and subscription terms applicable to your account will be specified in your approved proposal, order, service agreement, or other written confirmation.
- Setup fees cover the agreed initial implementation and configuration of your RGS service.
- Recurring subscription fees cover the services and ongoing support included in your selected package.
- Additional features, integrations, customizations, or services outside the agreed scope may incur additional charges, subject to your approval.
- You agree to pay all amounts due by the applicable due dates using the payment methods and payment arrangements accepted by SystemBubble and specified in your agreement or otherwise communicated to you.
- Taxes, government charges, third-party service fees, and other applicable costs will be handled as specified in your agreement and applicable law.
Before implementation begins, the approved proposal, order, or written service agreement will identify the applicable setup fee, payment schedule, and agreed implementation scope. Where practicable, it will also specify the implementation milestones and the portion of the setup fee allocated to each milestone. These allocations will be used to assess the value of work completed if the engagement is cancelled, subject to the agreement and applicable law.
We may suspend services for overdue payments after providing any notice required by your agreement or applicable law. We will communicate material changes to recurring fees in advance and apply them in accordance with applicable law and your agreement.
4. Cancellations, Refunds, and Implementation Fees
4.1. General Policy. SystemBubble provides done-for-you implementation and configuration services that may require professional time, customer-specific design and configuration work, preparation of digital materials, infrastructure allocation, and commitments to third-party software, hosting, and other service providers.
Payments are allocated to the implementation services, subscription services, and other items specified in your approved proposal, order, or written service agreement. Refund eligibility depends on the services paid for, the work performed, the applicable cancellation terms, and any rights or remedies available under applicable law.
Nothing in this section excludes, restricts, or waives a refund, reimbursement, or other remedy that is required by applicable law.
4.2. Cancellation Before Implementation Begins. SystemBubble accepts an engagement based on the customer's approval of the agreed scope, fees, and implementation requirements. By approving the proposal or service agreement and making the required payment, the customer commits to the engagement and acknowledges that SystemBubble reserves professional time, implementation capacity, and resources for the agreed work. The setup fee is not a refundable trial payment or a deposit that may be recovered solely because the customer changes their mind.
A customer who elects not to proceed, changes their business plans, chooses another provider, or otherwise cancels for reasons unrelated to a material failure by SystemBubble is not automatically entitled to a refund. Any cancellation request must be submitted in writing to
partner@systembubble.com. Submission of a cancellation request does not itself terminate payment obligations already accrued under the applicable agreement or create an automatic right to recover amounts paid.
If SystemBubble accepts a cancellation before substantive implementation work begins, SystemBubble may retain any cancellation fee expressly stated in the approved proposal or service agreement, provided that the fee was disclosed before payment and is lawful and enforceable. SystemBubble may also retain reasonable, documented, non-recoverable third-party costs actually incurred for the engagement, to the extent permitted by the agreement and applicable law. Any amounts retained must not duplicate charges for the same item.
If no specific cancellation fee was agreed in writing, SystemBubble may retain amounts properly attributable to documented work already performed and recoverable commitments or expenses, to the extent permitted by the agreement and applicable law. SystemBubble will not invent or impose a new cancellation fee after the customer has paid. Any remaining balance will be assessed under the agreement and applicable law, including any mandatory refund or other remedy.
For purposes of these Terms and Conditions, implementation begins when SystemBubble starts substantive work specifically for the customer's engagement, including customer-specific planning, preparing branded designs, configuring business requirements, creating customer-specific digital materials, setting up the customer's environment, or performing other agreed implementation activities. Administrative acknowledgment of an order or receipt of payment alone does not constitute substantive implementation work.
Nothing in this section limits a right or remedy that cannot lawfully be excluded under applicable Philippine law, including a remedy arising from SystemBubble's material failure to perform its contractual obligations or provide services in conformity with applicable legal requirements.
4.3. Cancellation After Implementation Begins. If you request cancellation after implementation work has begun, SystemBubble may deduct from the amount paid:
- The agreed value of implementation work completed up to the effective cancellation date, calculated using the milestones, allocations, or rates stated in your approved proposal or service agreement.
- The reasonable value of customer-specific design, configuration, development, setup, and other implementation work already performed, to the extent not already included in the amount calculated above.
- Actual, reasonable, and non-recoverable third-party expenses incurred specifically for your engagement, including applicable hosting, software, integration, licensing, or other supplier charges that cannot reasonably be cancelled, recovered, or credited.
- Other cancellation charges expressly agreed to in writing before payment, but only to the extent they are lawful, reasonable, and enforceable.
SystemBubble will not charge twice for the same work or expense. Any deduction must be supported by the applicable agreement, work performed, expense incurred, or other reasonable records.
The remaining refundable balance, if any, will be calculated by subtracting the permitted deductions from the payments received for the cancelled implementation services. If the permitted deductions equal or exceed those payments, no implementation refund will be due, except where a refund or other remedy is required by applicable law.
4.4. Implementation Milestones and Earned Fees. The implementation fee covers the agreed scope of work, not merely the final delivery of a functioning system. Work may include customer-specific planning, branding, design preparation, configuration, development, integration, testing, and deployment.
Where the approved proposal or service agreement assigns values or percentages to implementation milestones, those allocations will be used to determine the portion of the implementation fee earned as each milestone is completed. Where no milestone allocation applies, the value of work performed will be assessed using the agreed rates or another reasonable and documented method consistent with the agreement and applicable law.
Customer approval, access to a staging environment, or final launch may be relevant to determining completion, but the absence of final launch alone does not mean that no implementation work has been performed.
4.5. Customer Delays and Failure to Provide Required Information. You are responsible for providing the information, materials, approvals, access, and other inputs reasonably required to complete your implementation.
If your engagement is delayed because you do not provide required inputs or approvals, SystemBubble may revise the implementation schedule and notify you of the outstanding requirements.
If the engagement remains inactive for an extended period, SystemBubble may give written notice identifying the outstanding requirements and allowing a reasonable period to respond. If the issue remains unresolved, SystemBubble may suspend or terminate the engagement in accordance with the service agreement and applicable law.
Upon termination, the financial settlement will account for the permitted value of work already performed and non-recoverable costs actually incurred. Any remaining refundable balance will be returned where required by the agreement or applicable law.
4.6. Subscription Fees and Recurring Charges. Recurring subscription fees are separate from one-time implementation fees.
You may cancel your subscription by submitting written notice to
partner@systembubble.com. Unless your service agreement specifies otherwise, cancellation will take effect at the end of the current paid subscription period, and future recurring charges will stop from the applicable cancellation date.
Subscription fees for a period in which the service has already been made available are generally not refundable solely because you did not use the service or chose to cancel before the end of that period, except where your agreement or applicable law requires a refund or other adjustment.
Any prepaid subscription amount relating to a period after termination will be assessed for refund in accordance with your agreement and applicable law. This section does not authorize charges for periods after an effective cancellation date where such charges are prohibited.
4.7. SystemBubble's Failure to Deliver or Provide Conforming Services. If SystemBubble fails to provide the services in material conformity with the applicable written agreement, you should notify us in writing and describe the issue in reasonable detail.
Where appropriate and permitted by law, SystemBubble will have a reasonable opportunity to investigate and correct the issue, complete the agreed work, or agree on another appropriate resolution.
If the issue cannot be resolved, or applicable law entitles you to a refund or another remedy, SystemBubble will provide the remedy required by the agreement and applicable law. Permitted deductions for completed work or third-party expenses will not be used to defeat a mandatory refund or other statutory remedy.
4.8. Refund Requests and Processing. Refund requests must be submitted to
partner@systembubble.com and should include your business name, the relevant proposal or invoice, the payment details reasonably necessary to identify the transaction, and the reason for the request.
SystemBubble will acknowledge and assess the request, review the relevant agreement and implementation records, and explain the basis of its decision and any proposed deductions.
Approved refunds will be processed through the original payment method where reasonably practicable, or through another mutually agreed method, subject to payment-provider requirements and applicable law. Processing time may depend on the payment provider or financial institution. Nothing in this section limits your right to pursue remedies available under applicable Philippine law or to submit a complaint to the appropriate authority.
5. Implementation and Customer Approval
Implementation timelines begin when we have received the required information, content, assets, approvals, and initial payment specified in your agreement.
- You are responsible for supplying accurate business details, service descriptions, prices, operating hours, booking rules, contact information, logos, photographs, and other required materials.
- You are responsible for reviewing and approving the branding, content, configuration, and functionality of your service before launch.
- Delays caused by missing information, late approvals, third-party dependencies, or changes to the agreed scope may affect delivery dates.
- Work outside the agreed implementation scope may require a revised timeline and additional fees.
Any stated delivery target, including a seven-day implementation target, applies only when expressly agreed and subject to the stated prerequisites and scope.
6. Use of RGS Products and Business Responsibilities
The Revenue Growth System (RGS) comprises software products, capabilities, and technology designed to help businesses acquire customers, convert sales opportunities, facilitate transactions, build customer relationships, encourage repeat business, and improve revenue-generating operations. Depending on the services engaged, these may include reservation and booking management, ecommerce, loyalty programs, memberships, customer engagement, customer data management, business automation, artificial intelligence, and other revenue growth capabilities that SystemBubble may introduce from time to time.
You are responsible for how you configure, operate, and use the RGS products and capabilities provided to your business, including the accuracy of your business information, product and service descriptions, pricing, availability, membership conditions, loyalty program rules, promotional offers, and other information presented to your customers.
- You are responsible for fulfilling your business commitments to your customers, including applicable orders, reservations, memberships, loyalty rewards, promotions, and other products or services you offer.
- You are responsible for establishing and communicating your applicable business policies, including payment, cancellation, refund, rescheduling, membership, loyalty, and customer eligibility rules.
- You must ensure that your use of RGS and your business operations comply with applicable laws, regulations, licenses, consumer protection requirements, tax obligations, and data protection requirements.
- You must use RGS products and capabilities only for their intended purposes and in accordance with these Terms and Conditions, your applicable service agreement, and any additional terms governing specific products or third-party services.
- You are responsible for reviewing business information, customer communications, automated actions, and AI-generated outputs where appropriate before relying on them or acting upon them.
- You must not misrepresent the availability, status, benefits, or terms of any product, service, transaction, membership, loyalty reward, or other offer made available through RGS.
Unless separately agreed in writing, SystemBubble provides the technology and software capabilities that support your business operations but does not operate your business, act as a party to transactions between you and your customers, or assume responsibility for fulfilling your business obligations. Responsibility for the products, services, offers, rewards, and commitments you provide remains with you, subject to applicable law and any express obligations SystemBubble undertakes in writing.
7. Customer Content and Business Data
You retain ownership of the business content, trademarks, photographs, descriptions, and other materials you provide, subject to any rights belonging to third parties.
You grant SystemBubble permission to host, reproduce, process, display, and use those materials only as reasonably necessary to provide, maintain, secure, and support your contracted services, or as otherwise authorized by you or permitted by law.
- You must have the rights and permissions necessary to provide all content and data submitted to RGS.
- You are responsible for the accuracy and lawful collection of information you obtain from your customers.
- You must not upload unlawful, infringing, malicious, or unauthorized content.
- You must not use customer information for purposes that lack an appropriate legal basis or required consent.
Our collection and processing of personal information are also governed by our Privacy Policy.
8. Intellectual Property, Platform, and Data Ownership
SystemBubble retains ownership of the Revenue Growth System (RGS) and its underlying software, source code, database schemas, table structures, queries, architecture, frameworks, reusable modules, platform infrastructure, generic functionality, technical methods, and associated intellectual property, except for materials and third-party components owned by others.
Subject to payment and compliance with these Terms and Conditions, you receive a limited, non-exclusive, non-transferable right to access and use the contracted RGS products and capabilities for your business during the applicable service term. Your subscription does not transfer ownership of the RGS software, source code, database schemas, or underlying platform technology to you.
You retain ownership of your business data and customer data that you provide to or generate through your use of RGS, to the extent that such data and associated rights belong to you. This does not transfer ownership of personal information belonging to individuals or override the rights of third parties under applicable law. You are responsible for ensuring that you have the necessary rights and legal basis to provide and process data through RGS.
Unless otherwise agreed in writing before the commencement of the applicable engagement, your data ownership rights include the right to request an export of your business data in CSV or another mutually agreed, reasonably available data format. Such exports cover the applicable data and records associated with your business, subject to technical limitations, third-party rights, applicable law, and reasonable verification of your authority to receive the data.
Data ownership and export rights do not, by themselves, include ownership of or a right to receive the complete database, database schemas, table definitions, relationships, indexes, views, stored procedures, queries, database scripts, source code, internal system records, or other underlying data structures and implementation details used to operate RGS. These components remain the intellectual property of SystemBubble or their respective owners unless expressly included in a separate written agreement.
Any arrangement involving database delivery, schema transfer, source code access, database migration, custom data structures, domain name ownership or transfer, or other rights beyond the standard data export may be negotiated separately. The agreed scope, ownership, transfer conditions, fees, responsibilities, and applicable restrictions must be documented in writing before the applicable engagement begins.
You retain ownership of your business name, logo, trademarks, and other authorized brand assets. You grant SystemBubble the rights reasonably necessary to use those materials to configure, operate, maintain, and provide your contracted RGS services.
You may not copy, resell, sublicense, distribute, reverse engineer, or commercially exploit the underlying RGS platform or its intellectual property except where expressly authorized in writing or permitted by applicable law.
Third-party software, integrations, and assets remain subject to their respective licenses and terms. Any ownership or transfer rights concerning custom deliverables, source code, database structures, or other specifically commissioned materials must be established in a separate written agreement.
9. Acceptable Use
You agree not to use RGS to:
- Conduct fraudulent, deceptive, unlawful, or unauthorized activities.
- Transmit malware, exploit vulnerabilities, or interfere with platform security or availability.
- Access accounts, data, systems, or infrastructure without authorization.
- Send unlawful spam, misuse customer contact information, or violate applicable privacy and marketing laws.
- Infringe intellectual property, privacy, or other legal rights.
- Circumvent usage limits, security controls, subscription restrictions, or access permissions.
We may investigate suspected violations and take proportionate action, including restricting access or suspending services where reasonably necessary and legally permitted.
10. Service Availability, Maintenance, and Third Parties
We use reasonable efforts to operate and maintain RGS. However, uninterrupted or error-free service cannot be guaranteed.
Service interruptions may result from maintenance, software updates, security incidents, infrastructure failures, telecommunications issues, force majeure events, or services operated by third parties.
Third-party services, including payment providers, messaging platforms, hosting providers, email services, calendars, and artificial intelligence providers, may be governed by separate terms, pricing, availability, and data practices. We are not responsible for independent third-party decisions or outages, subject to applicable law and any commitments expressly made in your agreement.
11. Artificial Intelligence and Automation
Certain RGS features may use artificial intelligence or automated processes to assist with customer inquiries, recommendations, communications, reporting, and business workflows.
- AI-generated responses and recommendations may be inaccurate, incomplete, or unsuitable for a particular situation.
- You are responsible for reviewing important business information, customer communications, prices, availability, and automated actions where appropriate.
- You must not rely on AI features as a substitute for professional legal, medical, financial, or other regulated advice.
- You must configure and use automation in accordance with applicable law and the permissions granted by your customers.
AI and automation capabilities are provided only to the extent included in your package or separately agreed with you.
12. Privacy and Data Protection
Both parties must comply with applicable data protection and privacy laws, including the Philippine Data Privacy Act of 2012 (Republic Act No. 10173), where applicable.
Depending on the processing activity, you may act as the personal information controller for information collected through your business, while SystemBubble may act as a personal information processor when handling that information on your behalf. The parties' actual roles and obligations depend on the circumstances and applicable law.
You must provide appropriate privacy notices, obtain required consents or other legal bases, and honor applicable data subject rights. Additional data processing terms may apply where necessary.
13. Warranties and Business Results
We will provide the contracted services with reasonable care and skill, subject to the applicable agreement and law.
RGS is designed to support booking operations and revenue-generating activities. However, we do not guarantee a particular number of bookings, customers, sales, conversion rates, revenue, profit, search rankings, or return on investment.
To the extent permitted by law, warranties not expressly provided in the applicable agreement are excluded. Nothing in these terms excludes or limits a warranty, right, or remedy that cannot lawfully be excluded or limited.
14. Limitation of Liability
To the extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, or consequential losses, including lost profits, lost business opportunities, or loss of goodwill, arising from the use of the services.
To the extent permitted by law, SystemBubble's aggregate liability arising out of or relating to the services will be subject to any liability cap expressly agreed in the applicable service agreement. If no cap is agreed, the parties' liability will be determined under applicable law.
Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, including any applicable statutory consumer rights or liability for fraud where such limitation is prohibited.
15. Suspension and Termination
Either party may terminate the services in accordance with the applicable service agreement and any required notice period.
We may suspend or terminate access where reasonably necessary because of material breach, nonpayment, unlawful activity, security risks, or circumstances in which continued service is no longer reasonably possible, subject to applicable notice and legal requirements.
Upon termination, your right to use the contracted services will end. Any outstanding payment obligations and provisions intended to survive termination will remain effective.
Data export, retention, deletion, domain arrangements, transition assistance, and any applicable final charges will be handled according to your service agreement, our Privacy Policy, and applicable law. You should request any required data export before your access ends.
16. Changes to These Terms
We may update these terms to reflect changes in our services, operations, security requirements, or legal obligations.
Material changes will be communicated through appropriate means where required. Changes will take effect as stated in the notice and will not override rights that cannot legally be changed without consent. Your continued use of the services after an effective change constitutes acceptance where permitted by law.
17. Governing Law and Disputes
These terms are governed by the laws of the Republic of the Philippines, without prejudice to mandatory legal protections that may apply.
The parties will attempt to resolve disputes in good faith. If a dispute cannot be resolved informally, it may be brought before a court of competent jurisdiction, subject to applicable law and any valid dispute resolution agreement.
18. General Provisions
- These terms and any applicable written service agreement govern your use of RGS. If there is a conflict, the service agreement will prevail for the specific matter it expressly addresses, to the extent legally permitted.
- If a provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
- A party's failure to enforce a provision does not waive its right to enforce it later.
- Neither party is responsible for a delay caused by circumstances beyond its reasonable control, subject to applicable law and any specific contractual obligations.
- You may not transfer your rights or obligations under these terms without our prior written consent, except where permitted by law. We will not unreasonably withhold consent where applicable law requires it.
